Terms of Service

These terms govern your use of LumenFlow.

1. Who we are

In these terms, “we”, “us”, and “our” refer to the operators of LumenFlow. “You” refers to anyone who accesses or uses LumenFlow.

2. Acceptance of terms

By creating an account or using LumenFlow, you agree to these terms. If you do not agree, you must not use the service. We may update these terms from time to time — continued use after changes constitutes acceptance.

3. The service

LumenFlow provides a governed AI platform including an AI assistant (“Sidekick”), governance controls, action logging, and related tools. The service is provided “as is” during beta. We may modify, suspend, or discontinue features at any time.

4. Accounts

You are responsible for maintaining the security of your account credentials. You must not share your account or allow others to access it. You are responsible for all activity under your account. You must provide accurate information when registering and keep it up to date.

5. Acceptable use

You may use LumenFlow for lawful purposes only. You must not use the service to: generate content that is illegal, harmful, or violates third-party rights; attempt to circumvent governance controls or security measures; reverse-engineer, scrape, or interfere with the service; impersonate others or misrepresent your identity; or exceed the usage limits of your plan.

6. Your data

You retain ownership of any content you provide to LumenFlow. By using the service, you grant us a limited licence to process your data as necessary to operate the service. We do not use your data to train AI models. See our Privacy Policy for details on how we handle your information.

7. Third-party model providers

LumenFlow connects to third-party AI model providers (such as OpenAI and Anthropic) either through managed inference or bring-your-own-key configurations. When you use the LumenFlow mobile app, model-provider traffic is forwarded by LumenFlow servers — provider API keys are never stored on or transmitted from your device, and the mobile app does not open a direct connection to any model provider. Your use of those providers remains subject to their respective terms. We are not responsible for the output quality, availability, or conduct of third-party models.

8. Billing and payments

LumenFlow is pay-as-you-go. There is no recurring subscription. You fund governed inference by topping up prepaid inference credits through Stripe, and you pay a governance fee on the work you route through LumenFlow. Managed compute runs on a separate prepaid compute credit balance. You authorise us to charge your chosen payment method for each top-up you initiate. 9. Prepaid credits

Inference credits and compute credits are prepaid, stored-value balances that you can only redeem for LumenFlow services. They are an advance payment for our own services and are not a general means of payment, electronic money, or any other financial instrument. The following terms apply to every credit balance you hold:

  • Single use. Credits are redeemable only for LumenFlow services. They cannot be used anywhere else.
  • Non-refundable. Top-ups are final. Once you purchase credit, it is not refundable except where a refund is required by law.
  • No cash value. Credits cannot be withdrawn, redeemed for cash, or exchanged for money in any form.
  • Non-transferable. Credits are tied to your workspace and cannot be sold, assigned, or transferred to another account or person.
  • Expiry. Credits expire twelve (12) months after the date of purchase. Expired credit is forfeited and cannot be reinstated.
  • Usage and your balance. Governed model calls and managed compute draw down your relevant credit balance as you run them. Every top-up and deduction is recorded as a transaction you can review in your workspace.

If your account is closed or terminated, any remaining credit is forfeited to the extent permitted by law. We may change the credit top-up amounts, the governance fee, or the credit terms on a forward-looking basis; changes do not retroactively alter the expiry or value of credit you have already purchased.

10. Intellectual property

LumenFlow, its design, brand, and underlying technology are owned by LumenFlow. The governance kernel is licensed under AGPL-3.0. Nothing in these terms grants you rights to our trademarks, brand, or proprietary technology beyond what is necessary to use the service.

11. Limitation of liability

To the maximum extent permitted by law, LumenFlow shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill arising from your use of the service. Our total liability shall not exceed the amount you paid to us in the twelve months preceding the claim.

12. Disclaimers

LumenFlow is provided “as is” without warranties of any kind, whether express or implied. We do not warrant that the service will be uninterrupted, error-free, or that AI-generated outputs will be accurate or suitable for any particular purpose. You are responsible for reviewing and verifying all AI-assisted outputs before acting on them.

13. Termination and account deletion

You may close your account at any time from Settings → Account → Delete account, available in both the LumenFlow web app and the LumenFlow mobile app, or by emailing thomas.j.martin@me.com from the address registered to your account. We may suspend or terminate your access if you breach these terms. On termination, your data will be deleted in accordance with our retention policy and the account-and-data-deletion section of our privacy policy.

14. Governing law

These terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
